Dividend Distribution Announcement
The Company hereby reports that on August 12, 2024, the Company's Board of Directors resolved to declare a cash dividend in the amount of \$0.04884 per share, or about \$63 million.
Some shareholders will receive the dividend payment in New Israeli Shekels (NIS) and need to take into account that the amount of the dividend per share is not final and is subject to changes due to the need to convert the amount from US dollars to NIS according to the Bank of Israel's representative exchange rate on September 3, 2024.
The dividend will be paid only to registered shareholders entitled to receive US \$2 or more.
The record date is September 4, 2024, and the payment date is September 18, 2024. From the current dividend payment, Israeli tax will be withheld at the following rates: with respect to 100% of the dividend, an Israeli resident company will not be charged for withholding tax; the withholding tax rate for an Israeliresident individual will be 25%; and the withholding tax rate for foreign residents (individuals and companies) will be 25% or in accordance with the applicable international tax treaties – whichever is lower.

החברה מבקשת לדווח כי ביום 12 באוגוסט ,2024 החליט דירקטוריון החברה על חלוקת דיבידנד במזומן בסך של 0.04884 דולר ארה"ב למניה או כ63- מיליון דולר ארה"ב.
חלק מבעלי המניות יקבלו תשלום בשקלים, ועליהם לקחת בחשבון שסכום הדיבידנד למניה אינו סופי וכפוף לשינויים בשל הצורך להמיר את הסכום מדולר ארה"ב לשקלים, וזאת על-פי השער היציג של בנק ישראל נכון ליום 3 בספטמבר .2024
הדיבידנד ישולם רק לבעלי מניות רשומים הזכאים לקבל סכום של 2 דולר ארה"ב ומעלה.
המועד הקובע הינו ה4- בספטמבר ,2024 מועד התשלום הינו ה18- בספטמבר .2024 מתשלום הדיבידנד הנוכחי ינוכה מס ישראלי בשיעורים הבאים: לגבי 100% מהדיבידנד, חברה תושבת ישראל לא תחויב בניכוי מס במקור, יחיד תושב ישראל יחויב בניכוי מס במקור בשיעור של 25% ותושבי חוץ (יחידים וחברות) יחויבו בניכוי מס במקור בשיעור של 25% או בהתאם לקבוע באמנות מיסוי בינלאומיות, לפי הנמוך מבניהם.
