Dividend Distribution Announcement
The Company hereby reports that on May 6, 2019, the Company's Board of Directors resolved to declare a cash dividend in the amount of \$0.05800 per share or about \$76 million.
Some shareholders will receive the dividend payment in New Israeli Shekels (NIS) and need to take into account that the amount of the dividend per share is not final and is subject to changes due to the need to convert the amount from US dollars to NIS according to the Bank of Israel's representative exchange rate on June 4, 2019.
The dividend will be paid only to registered shareholders entitled to receive US\$2 or more.
The record date is June 5, 2019 and the payment date is June 19, 2019. From the current dividend payment, Israeli tax will be withheld at the following rates: (1) with respect to approximately 48.54% of the dividend, an Israeli-resident company will not be charged for withholding tax; an Israeli-resident individual will be charged for withholding tax at a rate of 25%; and foreign residents (individuals and companies) will be charged for withholding tax at a rate of 25% or in accordance with the applicable international tax treaties – whichever is lower; (2) with respect to approximately 51.46% of the dividend, an Israeli-resident company will not be charged for withholding tax; an Israeli-resident individual will be charged for withholding tax at a rate of 20%; and foreign residents (individuals and companies) will be charged for withholding tax at a rate of 20% or in accordance with the applicable international tax treaties – whichever is lower.

הודעה על חלוקת דיבידנד
החברה מבקשת לדווח כי ביום 6 במאי ,2019 החליט דירקטוריון החברה על חלוקת דיבידנד במזומן בסך של 0.05800 דולר ארה"ב למניה או כ76- מיליון דולר ארה"ב.
חלק מבעלי המניות יקבלו תשלום בשקלים, ועליהם לקחת בחשבון שסכום הדיבידנד למניה אינו סופי וכפוף לשינויים בשל הצורך להמיר את הסכום מדולר ארה"ב לשקלים, וזאת על-פי השער היציג של בנק ישראל נכון ליום 4 ביוני .2019
הדיבידנד ישולם רק לבעלי מניות רשומים הזכאים לקבל סכום של 2 דולר ארה"ב ומעלה.
המועד הקובע הינו ה5- ביוני ,2019 מועד התשלום הינו ה19- ביוני .2019 מתשלום הדיבידנד הנוכחי ינוכה מס ישראלי בשיעורים הבאים: )1( לגבי כ48.54%- מהדיבידנד, חברה תושבת ישראל לא תחויב בניכוי מס במקור, יחיד תושב ישראל יחויב בניכוי מס במקור בשיעור של 25% ותושבי חוץ )יחידים וחברות( יחויבו בניכוי מס במקור בשיעור של 25% או בהתאם לקבוע באמנות מיסוי בינלאומיות, לפי הנמוך מבניהם; )2( לגבי כ51.46%- מהדיבידנד, חברה תושבת ישראל לא תחויב בניכוי מס במקור, יחיד תושב ישראל יחויב בניכוי מס במקור בשיעור של 20% ותושבי חוץ )יחידים וחברות( יחויבו בניכוי מס במקור בשיעור של 20% או בהתאם לקבוע באמנות מיסוי בינלאומיות, לפי הנמוך מבניהם.
