Q1 Dividend Distribution

The Company hereby reports that its Board of Directors, at its meeting held on May 9, 2017, resolved to declare a cash dividend out of the Company's earnings from the first quarter of 2017, in the amount of about US\$ 34 million or about US\$ 0.02600 per share.

Some shareholders will receive the dividend payment in New Israeli Shekels (NIS) and need to take into account the following: the amount of the dividend per share is not final and is subject to changes due to the need to convert the amount from US dollars to NIS, according to Bank of Israel's representative exchange rate on June 5, 2017.

The dividend will be paid only to registered shareholders entitled to receive US\$2 or more.

The record date is June 6, 2017 and the payment date is June 20, 2017. In the current quarter, tax will be as follows: for companies and individuals residents in Israel, the dividend will be exempted from tax for companies, individuals will pay 25%. For foreign residents, the dividend will be taxable at a rate of 25% or according to International Tax Treaties, at the lower. החברה מבקשת לדווח כי דירקטוריון החברה, בישיבה שהתקיימה ביום 9 במאי ,2017 החליט על חלוקת דיבידנד במזומן מתוך רווחי החברה ברבעון הראשון של שנת 2017 בסכום של כ34- מיליון דולר ארה"ב. סכום הדיבידנד למניה יעמוד על כ- 0.02600 דולר ארה"ב.

חלק מבעלי המניות יקבלו תשלום בשקלים, ועליהם לקחת בחשבון את הנתונים הבאים: סכום הדיבידנד למניה אינו סופי וכפוף לשינויים בשל הצורך להמיר את הסכום מדולר ארה"ב לשקלים, וזאת על-פי השער היציג של בנק ישראל נכון ליום 5 ביוני .2017

הדיבידנד ישולם רק לבעלי מניות רשומים הזכאים לקבל סכום של 2 דולר ארה"ב ומעלה.

המועד הקובע הינו 6 ביוני 2017; מועד התשלום הינו 20 ביוני .2017 ברבעון הנוכחי ינוכה מס כדלקמן: לחברה תושבת ישראל הדיבידנד פטור ממס; יחיד תושב ישראל חייב ב25%- מס. לתושב חוץ, הדיבידנד חייב במס של 25% או בהתאם לקבוע באמנות מיסוי בינלאומיות, לפי הנמוך מביניהם. למידע נוסף בדבר הליך אפשרי להחזר מס במקרים של ניכוי מס ביתר מבעלי מניות שאינם ישראלים עבור מניות הנסחרות בבורסת ניו-יורק )NYSE), אנא בקרו באתר החברה קישור.
