Extension of the Phosphate Mining Concession of Rotem Amfert Negev

Further to Note 7 to the Company's Financial Statements for the third quarter of 2021, regarding the phosphate mining concession of ICL's subsidiary, Rotem Amfert Negev ("Rotem"), which is valid until the end of 2021 (the "Concession"), the Company hereby reports, that following the recommendation and request of the authorized regulator for the extension, the Israeli Ministry of Energy, the Finance Committee of the Israeli Knesset (the Israeli Parliament) approved to extend the Concession for an additional 3 years, until the end of 2024.

The Concession sets forth, among other things, requirements regarding restoration of the mining and plants areas. To assure compliance with the Concession's provisions, ICL committed to the State of Israel, that if needed it will assume Rotem's responsibilities and indemnify the State.

The Company is working with the relevant authorities to complete the processes necessary for the implementation of the Concession.

הארכת זיכיון רותם אמפרט נגב לכריית פוספט

בהמשך לביאור 7 לדוחות הכספיים של החברה לרבעון השלישי של שנת ,2021 בקשר עם זיכיון כריית הפוספטים של החברה הבת, רותם אמפרט נגב ("רותם"), שבתוקף עד סוף שנת 2021 ("הזיכיון"), החברה מתכבדת לדווח כי התקבל אישור ועדת הכספים של הכנסת להארכת הזיכיון ב3- שנים נוספות עד לתום שנת ,2024 וזאת בהמשך להמלצת ובקשת משרד האנרגיה שההארכה כאמור הינה בסמכותו.

הזיכיון כולל, בין היתר, הוראות הנוגעות להסדרת שיקום שטחי המכרות ואזור המפעלים, כמפורט בזיכיון. להבטחת קיום הוראות הזיכיון, התחייבה החברה כלפי המדינה, בין היתר, להיכנס בנעליה של רותם וכן לשפות את המדינה במידת הצורך.

החברה ממשיכה לפעול מול הרשויות הרלוונטיות להשלמת התהליכים הנדרשים להוצאתו לפועל של הזיכיון.

דיווח זה כולל הערכות שמטבען מהוות מידע צופה פני עתיד. הערכות אלו מתבססות על הנחות של ההנהלה ועל המידע הזמין העומד בפני הנהלת החברה נכון למועד הדיווח. בהתאם, אין ודאות שהתהליך יושלם במועד או שלא תקומנה התחייבויות כספיות או אחרות נוספות, וזאת בשל גורמים שונים, לרבות עקב התממשותם של גורמי הסיכון המפורטים ב"סעיף 3 - מידע עיקרי– ד. גורמי סיכון" בדוחות הכספיים השנתיים של החברה, F20- לשנה שהסתיימה ביום 31 בדצמבר ,2020 אשר הוגשו לרשות האמריקנית לניירות ערך (SEC (ביום 2 במרס 2021 (הדוח השנתי) ובדיווחים עוקבים במסגרת דוחות שוטפים בטופס .6-K
