ICL Announces Closing of Tax Assessments for the Years 2015-2019

Further to Note 15 to the Company's Audited Financial Statements for the year ended December 31, 2020, and Note 7 of the Company's Financial Statements for the third quarter of 2021, the Company hereby reports, that it has reached an agreement with the Israeli Tax Authority ("ITA"), pursuant to which ICL will pay an amount of about \$105 million, plus indexation differences and interest, which will constitute complete and final waiver of all of the ITA's claims regarding income tax obligations by the Company and its material subsidiaries in Israel, for the tax years 2015-2019 (the "Tax Agreement").

The Tax Agreement is not expected to have material effect on the Company's financial statements.

ICL מדווחת על סגירת שומות מס הכנסה לשנים 2015-2019

בהמשך לבאור 15 לדוחות הכספיים של החברה לשנת 2020 ולבאור 7 לדוחות הכספיים של החברה לרבעון השלישי של שנת ,2021 החברה מתכבדת לדווח כי הגיעה להסכמה עם רשות המס בישראל במסגרתה תשלם סך של כ105- מיליון דולר בתוספת הפרשי הצמדה וריבית לסילוק מוחלט וסופי של מחלוקות לגבי חבות מס הכנסה של החברה וחברות הקבוצה המהותיות בישראל, בגין שנות המס 2019-2015 ("הסכם השומה").

להסכם השומה לא צפויה השפעה מהותית על דוחותיה הכספיים של החברה.
