Motion for disclosure and review of documents regarding the Harmonization Project

The Company hereby reports, that today it received a motion for disclosure and review of documents, in accordance with Section 198A of the Companies Law, 5759-1999. The motion was filed to the district court in Tel Aviv by a shareholder of the Company, as a preliminary proceeding towards the application of a certification of a derivative action with regard to the way of management and discontinuation of the Harmonization Project, which he claims allegedly led to the write-off of the amount invested in the project.

The Company, with its legal advisors, will examine the motion and shall submit its response to the court.

בקשה לגילוי ועיון במסמכים בקשר עם פרויקט ההרמוניזציה

החברה מבקשת לדווח, כי היום הומצאה לה בקשה לגילוי ועיון במידע ובמסמכים על פי סעיף 198א לחוק החברות, תשנ"ט.1999- הבקשה הוגשה לבית המשפט המחוזי בתל-אביב, על ידי בעל מניות של החברה, וזאת כהליך מקדים להגשת בקשה לאישור תביעה נגזרת בקשר עם אופן ניהול וסיום פרויקט ההרמוניזציה, שלטענתו, לכאורה, הובילו למחיקה בספרים של סכום ההשקעה בפרויקט.

החברה, עם יועציה המשפטיים, תבחן את הבקשה ותגיש את עמדתה לבית המשפט.
