Item 7.01 Regulation FD Disclosure.

In connection with our previously announced definitive agreement to sell Federal-Mogul LLC ("Federal-Mogul") to Tenneco Inc. ("Tenneco"), we have attached hereto as Exhibit 99.1 a copy of the unaudited condensed consolidated financial statements of Federal-Mogul as of March 31, 2018 and December 31, 2017, and for the three-months ended March 31, 2018 and March 31, 2017. Such financial statements are being made available at the request of Tenneco in support of Tenneco's previously announced financing efforts for its acquisition of Federal-Mogul.

The information contained in this Item 7.01 and Exhibit 99.1 is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
