ANNOUNCEMENT

Purchase Promise Contract of EAT-OUT

IBERSOL, SGPS, S.A. informs that a promise contract was concluded today with the Restaurant Group AGROLIMEN, based in Barcelona, for the acquisition of the entire share capital of Eat-Out Group, that holds a major positioning in the Spanish food market through different brands: Pans & Co, Ribs, FresCo e Dehesa Santa Maria, and a significative presence in the Travel segment, operating in several Airports in Spain.

A total of 324 restaurants, 116 operated by Eat Out and 208 franchised. In 2015 system sales reached 214,7 million euros, including own and franchised restaurants. Eat Out sales amounted to 137,4 million euros. Ebitda registered 16,4 million euros.
