Subject: - Non-applicability of Regulation 23(9) of SEBI (LODR) Regulation, 2015

Dear Sir/ Madam,

This is to inform you that as per Regulation 15 (2) of SEBI (LODR) Regulations, 2015, the compliance with the corporate governance provision as specified in Regulation 17,17 A, 18, 19,20,21,22,23,24, 24A, 25, 26, 27 and clauses [b] to (i) and (t) of sub-regulation (2) of regulation 46 and para C, D and E of Schedule V shall not apply, in respect of the listed entity having paid up equity share capital not exceeding rupees ten crores and net worth not exceeding rupees twenty five crores, as on the last day of the previous financial year.

The Details of paid-up capital and net worth of the Company as per the last audited Financial Statement of the Company as on 31[st] March 2025 are as follows:

(a) PAID UP EQUITY SHARE CAPITAL : Rs. 4,44,90,000/- (Four Crores Forty-Four Lakh and Ninety Thousand only)

(b) NET WORTH : Rs. 3,48,14,013/- (Three Crores Forty- Eight Lakh Fourteen Thousand and Thirteen only)

Hence the Company is not required to submit the Related Party Transaction disclosures as required under regulation 23(9) of SEBI (LODR), Regulations, 2015.
