NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

In accordance with Disclosure Rule 3.1.4R(1), I hereby inform you that ITE Group plc ('the Company') was notified on 8 December 2014, in order to satisfy Disclosure Rule 3.1.2, that Marco Sodi, Non-executive Chairman of ITE Group plc,  purchased 6,096 ordinary shares in the Company on 5 December 2014 and 18,904 ordinary shares in the Company on 8 December 2014 both purchases at the price of £1.55p per ordinary share.

Following this transaction Mr Sodi holds 150,000 ordinary shares representing 0.06 % of the Company's share capital.
