NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

In accordance with Disclosure Rule 3.1.4R(1), I hereby inform you that ITE Group plc ('the Company') was notified on 2 October 2014, in order to satisfy Disclosure Rule 3.1.2, of the following transactions:

-  That Marco Sodi, Non-executive Chairman of ITE Group plc, purchased 25,000 ordinary shares in the Company on 1 October 2014 at the price of £1.748p per ordinary share. Following this transaction Mr Sodi holds 125,000 ordinary shares representing 0.050 % of the Company's share capital;

-  That Sharon Baylay, Non-executive Director of ITE Group plc, purchased 5,300 ordinary shares in the Company on 2 October 2014 at the price of £1.695p per ordinary share. Following this transaction Ms Baylay holds 10,300 ordinary shares representing 0.004 % of the Company's share capital:
