ITEM 7.01 REGULATION FD DISCLOSURE

On September 19, 2023, Ault Alliance, Inc., a Delaware corporation, issued a press release announcing a cash dividend to holders of the Series D Preferred Stock of $0. 2708333 per share. The record date for this dividend is September 30, 2023, and the payment date is October 10, 2023. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated by reference herein.
