The compilation, dissemination and review of the information required to be presented in the Form 10-Q for the fiscal quarter ended September 30, 2020 has imposed requirements that have rendered timely filing of the Form 10-Q impracticable without undue hardship and expense to the registrant.

The registrant’s revenue increased to approximately $16,700,000 for the nine months ended September 30, 2020, representing an increase of $600,000 compared to approximately $16,100,000 for the nine months ended September 30, 2019. The registrant’s net loss from continuing operations decreased to approximately $5,300,000 for the nine months ended September 30, 2020, representing a decrease of $10,500,000 compared to approximately $15,800,000 for the nine months ended September 30, 2019.

The increase in revenue from the nine months ended September 30, 2019, was due to an increase in revenue from the registrant’s customized solutions for the military markets. The increase from the registrant’s defense business was partially offset by decreases in the commercial lending segment, attributed to a reduction in the size of the loan portfolio and a decision to cease operations at the registrant’s cryptocurrency mining operations.

The registrant’s net loss for the nine months ended September 30, 2020 and 2019 included non-cash charges from losses on debt extinguishment of $13,300,000 and $960,000, respectively. In aggregate, for the nine months ended September 30, 2020 and 2019, non-cash charges were approximately $20,800,000 and $11,400,000, respectively. As a result, the registrant’s net loss increased to approximately $24,600,000 for the nine months ended September 30, 2020, representing an increase of $3,500,000, compared to approximately $21,100,000 for the nine months ended September 30, 2019.
