Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

(b) On November 29, 2017, Digital Power Corporation notified the NYSE American, LLC that it was no longer in compliance with Rule 801(h) of the NYSE American Company Guide because, as a smaller reporting company, the Company’s Board of Directors was not comprised of at least 50% independent directors. On November 28, 2017, the Board of Directors approved the issuance cash compensation, and 200,000 shares of common stock and warrants to purchase 1,000,000 shares of common stock subject to vesting and shareholder approval, to Mr. William Horne, a director of the Company, for services. As a result of this compensation, Mr. Horne may not be deemed independent within the meaning of Section 803A(2) of the NYSE American Company Guide.

Mr. Horne has resigned from the audit committee of the Board of Directors. Mr. Smith has been appointed as chair of the audit committee.

The Company is committed to find a new independent director as soon as practicable in order to comply with the NYSE American Company Guide.
