GENERAL MEETING RESOLUTIONS

PASSED ON 1 December 2025

At the General Meeting of Hydrogen Capital Growth plc (the "Company") duly convened at the offices of Gowling WLG (UK) LLP at 4 More London Riverside, London SE1 2AU on 1 December 2025 at 10.00 a.m. (the "Meeting") the following resolutions were duly passed:

ORDINARY RESOLUTION

  1. THAT the Company adopt the New Investment Policy, as set out in Part 2 of the circular to shareholders of the Company dated 29 October 2025 which contains this Notice of General Meeting (the "Circular"), as the investment objective and policy of the Company in substitution for, and to the exclusion of, the Investment Policy.

SPECIAL RESOLUTIONS

  • THAT, conditional upon the passing or resolutions, 3, 4 and 5, the amount standing to the credit of the share premium account of the Company as at the date this Resolution is passed be cancelled.
    1. THAT, conditional upon the passing of resolutions 2, 4 and 5, with immediate effect from the passing of this Resolution, the draft articles of association produced to the meeting and initialled by the chairman of the Meeting be approved and adopted as the articles of association of the Company in substitution for, and to the exclusion of, the existing articles of association of the Company.

ORDINARY RESOLUTIONS

    1. THAT, conditional upon the passing of resolutions 2, 3 and 5, the Directors be generally and unconditionally authorised pursuant to article 168 of the New Articles to capitalise from time to time any sum or sums standing to the credit of any reserve of the Company, whether or not the same is available for distribution (including the Company's special reserve) and to apply such sum or sums in paying up in full up to 15,000,000,000 unlisted, redeemable, fixed rate preference shares of £0.01 each in the capital of the Company, having the rights and restrictions set out in article 168 of the New Articles ("B Shares") that may be allotted and issued from time to time to the holders of Ordinary Shares in the capital of the Company pursuant to the authority given by Resolution 5 below.
    1. THAT, conditional upon the passing of resolutions 2 to 4 (inclusive) above, pursuant to section 551 of the Companies Act, the Directors be generally and unconditionally authorised to exercise all powers of the Company to allot and issue from time to time, credited as fully paid up, B Shares up to an aggregate nominal amount of £150,000,000 to the holders of Ordinary Shares in the capital of the Company (excluding any Ordinary Shares held in treasury) on a pro rata basis, and by reference to such record time(s) and date(s) as determined by the Directors from time to time, in accordance with the terms of the circular sent by the Company to its Shareholders dated 29 October 2025. Unless previously varied, revoked or renewed, this authority shall expire at 23.59 hours on the day prior to the fifth anniversary of the passing of this resolution, save that the Company may, before such expiry, make an offer or agreement which would or might require B Shares to be allotted and/or issued after such expiry and the Directors may allot and issue B Shares in pursuance of any such offer or agreement as if the authority conferred hereby had not expired.

All terms and expressions defined in the Circular shall have the same meanings in these resolutions.
