DESPATCH OF CIRCULAR FOR CONNECTED TRANSACTION

The circular for the connected transaction together with notice of a special general meeting was despatched today.

Reference is made to the joint announcement (the "Announcement") by Whimsy Entertainment Co., Limited (the "Company") and Daiweldo Group Limited ("DWD") dated 31 August 2000. Unless otherwise defined, terms defined in the Announcement shall have the same meaning as used herein.

The board of directors (the "Board") of the Company announces that the circular relating to the connected transaction in relation to subscription of the Subscription Shares by DWD, the increase in authorised share capital of the Company, mandates for repurchase and issue of securities, proposed change of name to "Compass Pacific Holdings Limited" and adoption of the name "圓通科技控股有限公司" as the Chinese name of the Company and possible unconditional cash offer, accompanying the notice for a special general meeting of the Company to be held at 9:00 a.m. on Thursday, 5 October 2000 at Boardroom I, Grand Hyatt Hong Kong, 1 Harbour Road, Wanchai, Hong Kong or at any time immediately following the closure of the special general meeting of the Company to be held at 8:30 a.m. on the same date and at the same place (the notice of the special general meeting dated 11 September 2000 has been advertised on the newspapers on 11 September 2000) together with the forms of proxy for the special general meetings, have been despatched to all shareholders of the Company today.
