Resolutions passed by the Annual Meeting of Stockholders of Huuuge, Inc.(the "Issuer_quot;)Based on Article 56 Section 1 Item 2 ofthe Act on Public Offering, Conditions Governing the Introduction ofFinancial Instruments to Organised Trading and Public Companies and § 19Section 1 Item 6) and the Ordinance of the Minister of Finance of 29March 2018 on the current and periodic reports disclosed by securitiesissuers and on the equivalence of information disclosures required bythe laws of non-EU member states, the Issuer hereby announces that, onOctober 27, 2023, at 17:00 CET/8:00 PDT, via an online platform, theIssuer's Annual Meeting of Stockholders (the "AGM_quot;) was held inaccordance with the procedure described in Current Report No. 39/2023._#160;

The Annual Meeting of Stockholders of the Issuer did not withdraw fromthe consideration of any agenda item. During the AGM no objections toresolutions were filed to the minutes. Additionally the Issuer informsthat during the AGM there were two draft resolutions (i.e._#160;ResolutionNo. 3 on amending the Fourth Amended and Restated Certificate ofIncorporation, i.e Article VII in its entirety and Section 4.1 ofArticle IV, and Resolution No. 4 on approval of the unified wording ofthe Certificate of Incorporation form of the Fifth Amended and RestatedCertificate of Incorporation) which have been put for voting and werenot adopted.

Attached are the resolutions considered by the AGM (the English versionsand the Polish translation of these materials), and the outcome of thevote taken with respect to each resolution, as reported on October 30,2023 by the Inspector of Elections, including the number of sharesvalidly voted for each resolution, the percentage of the participatingvotes from the total common stock of the Issuer,_#160; and the number ofvotes cast _quot;for_quot;, _quot;against_quot; and _quot;abstaining_quot; for each resolution.
