Notice under section 708A(5)(e) of the Corporations Act 2001

This notice is given by FlexiGroup Limited (ABN 75 122 574 583) ("FlexiGroup") under section 708A(5)(e) of the Corporations Act 2001 (Cth) ("Act").

On 10 March 2015, FlexiGroup issued 53,647 shares ("New Shares") in relation to the exercise of performance options issued to senior executives under the FlexiGroup Long Term Incentive Plan.

FlexiGroup confirms that:

• $(a)$ the New Shares were offered for issue without disclosure under Part 6D.2 of the Act;
• $(b)$ as at the date of this notice, FlexiGroup has complied with:
• $(i)$ the provisions of Chapter 2M of the Act as they apply to FlexiGroup; and
• section 674 of the Act; and $(ii)$
• $(c)$ as at the date of this notice, there is no excluded information of the type referred to in sections $708A(7)$ and $708A(8)$ of the Act.
