Appointment of Two Additional Independent NonExecutive Directors & External Governance Review Update

Humm Group Limited (ASX: HUM) (“ humm group” or the “ Company ”) today announces the appointment of Abigail Cheadle and Teresa Dyson to its Board of Directors, as well as an update on its external governance review commissioned by the Board and undertaken by McGrathNicol.

Robert Hines, Chair of humm group, said:

“The appointment of Abigail and Teresa as independent non-executive directors adds further depth and experience to the humm group Board at a time when we are deliberately strengthening how governance is structured and implemented.

Following the Board’s decision to commission an external governance review, we have focused first on establishing the right Board settings, including an independent Chair and increasing the size of the Board by the appointment of two new highly qualified and experienced independent directors and the CEO. The next phase is to embed the remaining recommendations into humm group’s existing governance framework.”

Independent Non-Executive Director Appointments to Further Strengthen Governance

Ms Dyson has been appointed Chair of the Independent Board Committee (“ IBC ”) that was established to consider and progress the non-binding and indicative proposal from Credit Corp Group Ltd and any other proposals which may arise. The IBC now consists of Ms Cheadle, Andrew Darbyshire AM, Ms Dyson, Teresa Fleming and Mr Hines.

Ms Cheadle brings extensive governance and corporate finance experience to the Board, including in highly regulated industries. She has extensive experience as a public company director and is currently on the boards of Shriro Holdings Limited (where she is Chair), Advanced Innergy Holdings Limited, LGI Limited, Retail Food Group Limited and Reef Casino Trust.

Ms Dyson brings significant governance, legal, tax and transactional experience to the Board, as an adviser, a company director and as a member of regulatory bodies. She is an experienced director with a broad range of experience across public and private sectors. She is currently a director of Southern Cross Media Group Limited and of Shine Justice Limited, as well as a member of the Takeovers Panel.

External Governance Review Update

McGrathNicol was appointed by the Company in January 2026 to review the current Board effectiveness and governance, with overall findings positive. humm group has now implemented the core recommendations from this review – appointment of an independent chair and board expansion.

Appendix I – New Independent Non-Executive Director Biographies

Abigail Cheadle

Ms Cheadle is an experienced Chartered Accountant with more than 30 years’ experience in board and executive leadership roles across ASX-listed companies, government bodies, and global professional services firms. She brings expertise in financial oversight, governance, restructuring, capital management, and commercial strategy across a broad range of sectors.

Ms Cheadle currently serves as Chair of Shriro Holdings Limited and as an independent non-executive director of Advanced Innergy Holdings Limited, LGI Limited, Retail Food Group Limited and Reef Casino Trust. Her former directorships include Novatti Group Limited, Isentia Group Limited, SurfStitch Group Limited, DXN Limited, Booktopia Group Limited and QANTM Intellectual Property Limited.

Across her board career, Ms Cheadle has chaired eight audit and risk committees, one remuneration and nomination committee, and successfully overseen several IPOs and capital raisings, M&A transactions and major IT project implementations.

Prior to becoming a director, Ms Cheadle has held senior leadership roles with a number of international and national professional service firms, where she built and led practices focused on corporate turnarounds, forensic accounting and investigations, corporate finance, and risk management across Asia.

She is a Graduate Member of the Australian Institute of Company Directors and holds a Bachelor of Business (Accounting) from the Queensland University of Technology.

Teresa Dyson

Ms Dyson is an experienced company director with a broad range of experience across public and private sectors. She has been closely involved in strategic decision making in business and organisational structuring, covering the financial services, media, health, transport, energy and resources sectors, as well as infrastructure projects, following over 20 years of legal practice.

Ms Dyson is a member and Acting President of the Takeovers Panel. She is former Chair and member of the Board of Taxation and a former member of the Foreign Investment Review Board and Housing Australia. She is also a former independent member of the Australian Taxation Office Audit & Risk Committee.

Ms Dyson is currently a director of Southern Cross Media Group Limited and Shine Justice Limited, and was a director of Seven West Media, Genex Power Limited, Entyr Limited, Gold Coast Hospital & Health Board and Brighter Super. She is a director and deputy Chair of Invest Gold Coast Pty Ltd and a member of the AICD Queensland Division Council.

She was previously a Partner at Ashurst (formerly Blake Dawson) and Deloitte. In these roles, Ms Dyson’s experience included advising on debt capital markets, including securitisations and other financing arrangements, and the structuring of corporate transactions across listed companies and financial institutions.

Ms Dyson is a Fellow of the Australian Institute of Company Directors, a member of Chief Executive Women, an Associate Member of CPA Australia and an admitted solicitor in Queensland, NSW, Victoria and the High Court of Australia. She holds Bachelors of Arts and Laws (Hons) from the University of Queensland, a Master of Taxation from the University of Queensland and a Master of Applied Finance from Macquarie University.
