Subject: Intimation of Board Meeting pursuant to Regulation 29 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (‘SEBI LODR Regulations’).
Pursuant to Regulation 29 of SEBI LODR Regulations, we wish to inform you that, a meeting of the Board of Directors of Hubtown Limited (“ Company ”) is scheduled to be held on Tuesday, August 12, 2025, at the registered office of the Company or through Video Conferencing, inter alia, to consider the below matters:

To consider and approve the Unaudited Standalone and Consolidated Financial Results of the Company for the Quarter ended June 30, 2025.

To consider and approve the proposal of raising of funds by way of issuance equity shares and/or issuance of other securities / warrants convertible into equity shares of the Company through permissible modes, including but not limited to a public issue, preferential allotment, private placement, including one or more qualified institutions placement (‘ QIP’ ) or through any other permissible mode and/or combination thereof as may be considered appropriate under applicable law, subject to such regulatory/statutory approvals as may be required and the approval of shareholders of the Company.

To evaluate, explore and consider the proposal to acquire / increase / consolidate the equity stake of Hubtown Limited in Twenty Five Downtown Realty Limited (“ 25 Downtown ”) through appropriate modes including through a scheme of arrangement. The Company holds 25% equity stake in 25 Downtown, which is currently developing a significant luxury residential project located adjacent to the Willingdon Golf Club at Mahalaxmi, offering panoramic golf course and sea views - an iconic offering in the South Mumbai real estate market.
Further, in continuation to our earlier intimation dated June 23, 2025 and in compliance with the provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015 and the Company's Code of Conduct for Regulating, Monitoring and Reporting of Trading by Designated Person(s)", the Trading Window for dealing in the securities of the Company for all the Designated Persons

including Insiders, had already been closed with effect from July 01, 2025 and shall remain closed till Forty-Eight (48) hours after the declaration of Unaudited Financial Results of the Company for the Quarter ended June 30, 2025.
