ITEM 2.02 Results of Operations and Financial Condition.

On October 20, 2011, Hubbell Incorporated (the “Company”) reported net sales of $764.3 million and earnings per diluted share of $1.37 for the third quarter of 2011, as compared to net sales of $685.0 million and earnings per diluted share of $1.18 reported for the third quarter of 2010. The Company also reported net income of $82.4 million for the third quarter of 2011, as compared to net income of $71.3 million for the third quarter of 2010.
