Court approves convening of Scheme Meeting

Class Limited (ASX:CL1) ( Class ) is pleased to provide the following update in relation to the proposed acquisition of all of the issued shares in Class by HUB24 Limited (ASX:HUB) ( HUB24 ) by way of a recommended court-approved Scheme of Arrangement ( Scheme ).

The Supreme Court of New South Wales ( Court ) has today made orders:

• that Class convene a meeting of Class shareholders to consider and vote on the proposed Scheme ( Scheme Meeting ); and

• approving the despatch of an explanatory statement providing information about the Scheme and the Notice of Meeting ( Scheme Booklet ).

The Scheme Booklet is expected to be sent to Class shareholders following registration of the Scheme Booklet with the Australian Securities and Investments Commission ( ASIC ). A further announcement, with the Scheme Booklet attached, will be released by Class following this ASIC registration.

Scheme Meeting

The Scheme Meeting will be conducted as a virtual meeting at 10:00am (Sydney time) on Monday, 31 January 2022. There will be no physical Scheme Meeting. Class shareholders (or their proxies, attorneys or corporate representatives) will be able to attend, vote and ask questions at the Scheme Meeting through an online platform available at https://meetings.linkgroup.com/CL122.

All Class shareholders are encouraged to vote either by attending and voting at the virtual Scheme Meeting, or by lodging a direct vote / appoint a proxy ahead of the virtual Scheme Meeting. The Notice of Scheme Meeting which will be attached to the Scheme Booklet provides information on how to lodge your voting / proxy form.
