Implementation of Share Scheme and Option Scheme

2 March 2021 : Xplore Wealth Limited (ASX:XPL) ( Xplore ) confirms that the Share Scheme and the Option Scheme have been implemented today. Capitalised terms not defined in this announcement have the meaning given to them in the Scheme Booklet dated 18 December 2020.

HUB24 Limited (ASX:HUB) ( HUB24 ) now holds 100% of the shares in Xplore. The cash component of the Share Scheme Consideration has been sent to Scheme Shareholders today by cheque or direct credit. Those Scheme Shareholders who were entitled to receive HUB24 Consideration Shares have had their names entered into HUB24’s register of members as the holders of their relevant HUB24 Consideration Shares.

All Xplore Options have been cancelled and the Option Scheme Consideration has been sent to Scheme Optionholders today by cheque or direct credit.

Alex Hutchison, Donald Sharp, Stephen Reed and Julie Berry have resigned as directors of Xplore (and relevant subsidiaries) with effect from Implementation. Bruce Hawkins, Craig Lawrenson and Jason Entwistle have been appointed as directors of Xplore. Bruce Hawkins and Craig Lawrenson have also been appointed as directors of various Xplore subsidiaries. Jillian McGregor has resigned as a company secretary of Xplore with effect from Implementation and Anthony Walsh has been appointed as an additional secretary of Xplore.
