Dear Sir/ Madam,

This is with reference to our earlier communication dated February 03, 2026 regarding Postal Ballot Notice dated January 28, 2026 (“Postal Ballot Notice”).

Due to unfortunate demise of existing Scrutinizer, a Corrigendum is being issued to inform Members of the Company regarding modifications / alterations in the Notes 6 & 7 of the Postal Ballot Notice with respect to appointment of new scrutinizers in place of the existing Scrutinizer.

Except as referred above and detailed in the Corrigendum, all other contents of Postal Ballot Notice shall remain unchanged.

Accordingly, Corrigendum dated February 10, 2026 to Postal Ballot Notice is enclosed for your information. This Corrigendum shall form an integral part of Postal Ballot Notice sent to Members of the Company. The same is also being uploaded on the website of the Company www.htmedia.in and on NSDL’s website viz . www.evoting.nsdl.com .

CORRIGENDUM TO POSTAL BALLOT NOTICE DATED JANUARY 28, 2026

Dear Member(s),

This is with reference to the Notice of Postal Ballot dated January 28, 2026 (“Postal Ballot Notice”) issued to the members of HT Media Limited (“Company”) and ongoing e-voting available from 9:00 A.M. on Wednesday, February 4, 2026 to 5:00 P.M. on Thursday, March 5, 2026.

Postal Ballot Notice was dispatched to Members of the Company via e-mail on February 3, 2026, in due compliance with the provisions of the Companies Act, 2013 and the rules made thereunder, read with the applicable circulars issued by the Ministry of Corporate Affairs and Securities and Exchange Board of India, respectively and other applicable laws.

Due to unfortunate demise of Shri Sanket Jain, Scrutinizer appointed for conducting the Postal Ballot and e-voting in a fair and transparent manner, the Board of Directors on February 10, 2026 appointed Shri Dhawal Kant Singh (C.P. No. 7347) or in his absence, Shri Kabindra Jha, (C.P. No. 22748), partners of D.S. Associates, Company Secretaries, as Scrutinizers for conducting the Postal Ballot and e-voting in place of Shri Sanket Jain.

Now, through this Corrigendum, Members of the Company are being informed, that the Notes 6 & 7 of the Postal Ballot Notice (page 5) shall now be amended and read as under:

6. The Board of Directors has appointed Shri Dhawal Kant Singh (C.P. No. 7347) or in his absence, Shri Kabindra Jha, (C.P. No. 22748), partners of D.S. Associates, Company Secretaries as a Scrutinizers to scrutinize the voting through e-voting process, in a fair and transparent manner, and they have given their consent to act as the Scrutinizer(s).

7. Corporate/ Institutional Members (i.e. other than Individuals, HUF, NRI, etc.) are also required to send scanned certified true copy (PDF Format) of the Board Resolution/ Authority Letter, etc., together with attested specimen signature(s) of the duly authorized representative(s), to the Scrutinizer at e-mail id: info@dsassociate.com with a copy marked to www.evoting@nsdl.com. They may also upload the same in the e-voting module in their login. The scanned image of the above-mentioned documents should be in the naming format ‘Corporate Name_EVENNO’.

This Corrigendum to Postal Ballot Notice shall form an integral part of the said Notice, which has already been circulated to Members of the Company, and on and from the date hereof, the Postal Ballot Notice shall always be read in conjunction with this Corrigendum. Accordingly, all concerned Members, Stock Exchanges, Depositories, Registrar and Share Transfer Agent, Agency appointed for e-voting, other Authorities, regulators, and all other concerned persons are requested to take note of the above modifications / alterations.

This Corrigendum is being sent electronically to all the registered members as on the cut-off date, i.e., Friday, January 30, 2026.

This Corrigendum is being uploaded on the website of the Company www.htmedia.in and on NSDL’s website viz. www.evoting.nsdl.com.
