This is to inform that on recommendation of Nomination & Remuneration Committee, the Board of Directors have, by way of resolution passed by circulation on 30[th] March, 2020, approved the induction of following directors on the Board in compliance of the applicable provisions of the Companies Act, 2013 and SEBI LODR:

1. Ms. Aruna Sundararajan (DIN: 03523267) has been appointed Additional Director (NonExecutive Women Independent) w.e.f. 31[st] March, 2020, to hold office upto the date of ensuing Annual General Meeting of the Company. Ms. Aruna Sundararajan has also been appointed an Independent Director (Additional Director) for a period of 5 consecutive years up to 30[th] March, 2025 (not liable to retire by rotation), subject to approval of the members.

2. Shri Shamit Bhartia (DIN: 00020623) has been appointed Additional Director (NonExecutive) w.e.f. 31[st] March, 2020 to hold office upto the date of ensuing Annual General Meeting of the Company.

3	Brief Profile (in case of appointment)	Ms. Aruna Sundararajan is a 1982 batch Kerala Cadre officer of the Indian Administrative Service (IAS). She superannuated on 31stJuly, 2019 as Chairperson of Digital Communications Commission, and Secretary (Telecom), Govt. of India. As Secretary, DoT, she was the chief architect of National Digital Communications Policy 2018 which aims to propel India as a global leader in Digital Communications. Key achievements during her tenure were the launch of the country’s 5G roadmap, establishment of indigenous Test Bed, launch of the National Frequency Allocation Plan- 2018, and completion of the first phase of BharatNet. Prior to this, she served as Secretary, Ministry of Electronics & Information Technology (MeitY), where she drove the Digital India initiatives, particularly during post- demonetization phase. During her tenure, she was instrumental in establishing India as a major hub for electronics, particularly mobile manufacturing; launch of BHIM app and the campaign for digital payments, use of Aadhaar for DBT, enhancing India’s role in internet governance ,and establishing the National Cyber Control Centre i.e. NCCC for cyber security. Some of the honors bestowed on Ms. Sundararajan in the past, include the Top Professional Women Achievers by India Today in 2009, Top Professional Women Achievers by Forbes Business Magazine in Aug 2012, The USIBC Transformative LeadershipAward 2017 and Business Todays
