POSITIVE PROFIT ALERT

This announcement is made by WINDMILL Group Limited (the “ Company ” and together with its subsidiaries, the “ Group ”) pursuant to Rule 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Listing Rules ”) and the Inside Information Provisions (as defined under the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the “ Board ”) of directors (the “ Directors ”) of the Company wishes to inform the shareholders of the Company (the “ Shareholders ”) and the potential investors that, based on a preliminary review of the unaudited consolidated management accounts of the Group for the year ended 30 April 2021, the Group is expected to record a net profit approximately HK$8 million attributable to owners of the Company for the year ended 30 April 2021 whereas the audited consolidated net loss recorded in the last corresponding period was HK$20.7 million. It is expected such increment was mainly attributable to, among others, catching-up on the progress of the on-going projects.

As the Company is still in the process of finalizing the results of the Group for the year ended 30 April 2021, the information contained in this announcement is only based on the preliminary assessment by the Board with reference to the unaudited consolidated management accounts of the Group for the year ended 30 April 2021, which have not been reviewed or audited by the audit committee or the auditor of the Company and may be subject to further adjustment based on further updated information. The annual results of the Group for the year ended 30 April 2021 is expected to be announced on 29 July 2021.
