• Notice - successful ending of the merging process of Jadranska banka d.d. Sibenik

Following the Feb 13 2019 notice on the signed Agreement on the merger between Hrvatska poštanska banka p.l.c., and Jadranska banka d.d. Sibenik on Feb 12 2019, we inform the investment community that Commercial court in Zagreb issued the Decision on 1 April 2019, by which the Merger of Jadranska banka d.d. Sibenik to Hrvatska poštanska banka p.l.c. will be enrolled in Court register. All assets and liabilities of Jadranska banka d.d. Sibenik are transferred to the balance sheet of Hrvatska poštanska banka p.l.c.

Hrvatska poštanska banka p.l.c. hereby reports on that the transaction has ended and the process of merging of Jadranska banka d.d. Sibenik is closed as of 1 April 2019, by enrolment into the Court Registry of the Commercial Court in Zagreb.

The creditors of the companies participating in the merger are provided with an insurance in accordance with Article 523 of the Companies Act, should they apply for that purpose within six months of the publication of the registration of the merger into the court register where the company whose creditors they are is registered, may not apply to receive their claims. The creditors of Hrvatska poštanska banka p.l.c., have this right only if they can prove that the settlement of their claims is jeopardized by the merger of the companies.
