(b) On December 6, 2016, Gregory J. Macfarlane, Senior Vice President, U.S. Retail Products and Operations of H&R Block, Inc. (the “Company”), notified the Company that he will resign from his position at the Company effective December 30, 2016 to pursue other career interests.
