Voting Rights and Capital

In accordance with the Disclosure and Transparency Rules of the FCA, we would like to notify the following:

The Company's capital consists of 651,830,815 ordinary shares of 10 pence each, with voting rights. All of the ordinary shares have equal voting rights and no shares are held in treasury. Therefore the total number of voting rights in the Company is 651,830,815.

The issued share capital of the Company increased by 250,000 shares on 26 May 2015 following an allotment of shares to the Employee Benefit Trust in order to satisfy employee share awards.

The above figure 651,830,815 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Howden Joinery Group Plc under the FCA's Disclosure and Transparency Rules.
