NOTIFICATION OF TRANSACTION IN SHARES BY EXECUTIVE DIRECTORS AND
PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES
Vesting of conditional share awards under the Howdens Long Term Incentive Plan (LTIP)
The Company announces that the Performance Share Plan (PSP) awards granted to certain Persons Discharging Managerial Responsibilities ("PDMRs") under the Company's LTIP on 6 April 2021 (the "2021 Award") has vested.
The 2021 Award was granted subject to the achievement of certain performance targets based on the Company's growth in pre-exceptional profit before tax and relative total shareholder returns over the three-year period ending 30 December 2023. An additional holding period of two years will apply to shares retained from the 2021 Award.
The following transactions took place in relation to the 2021 Award, which was granted over ordinary 10 pence shares of the Company ("Shares") to the PDMRs listed below:

Grant of conditional share awards under the LTIP
The Company announces that on 8 April 2024 it granted a PSP award over 67,709 Shares to Stuart Livingstone, a PDMR, under the Company's LTIP. The award will vest subject to performance against targets measured over a three-year period. A further two-year holding period will then apply to any shares Mr Livingstone is entitled to acquire on vesting.
The Company further announces that on 8 April 2024 it granted conditional share awards over a total of 48,859 Shares to Stuart Livingstone under the Company's LTIP. These awards will vest in two tranches subject to continued employment.
The Notification of Dealing Forms for the above transactions may be found below. These notifications are provided in accordance with the requirements of the UK Market Abuse Regulation.
