NOTIFICATION OF TRANSACTION IN SHARES BY EXECUTIVE DIRECTORS AND
PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES
Vesting of conditional share awards under the Howdens Long Term Incentive Plan (LTIP)
The Company announces that the Performance Share Plan (PSP) awards granted to certain Persons Discharging Managerial Responsibilities ("PDMRs") under the Company's LTIP on 6 April 2022 (the "2022 Award") has vested.
The 2022 Award was granted subject to the achievement of certain performance targets based on the Company's growth in pre-exceptional profit before tax and relative total shareholder returns over three financial years ending 28 December 2024. An additional holding period of two years will apply to shares retained from the 2022 Award.
The following transactions took place in relation to the 2022 Award, which was granted over ordinary 10 pence shares of the Company ("Shares") to the PDMRs listed below:
