NOTIFICATION OF TRANSACTION IN SHARES BY EXECUTIVE DIRECTOR AND

PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

Grant of conditional share awards under the Howdens Long Term Incentive Plan (LTIP)

The Company announces that on 18 August 2025 it granted the following Performance Share Plan (PSP) awards over ordinary shares of the Company to certain Executive Directors and Persons Discharging Managerial Responsibilities (together "PDMRs") under the Company's Long Term Incentive Plan (LTIP):

The above awards will vest subject to performance against targets measured over a three-year period. Dividend equivalent shares may also be acquired under the terms of the awards. A two-year holding period will apply to any shares (including any dividend equivalent shares) that the PDMRs are entitled to acquire on vesting.

The Company further announces that on 18 August 2025, Julian Lee, a PDMR, was also granted an award over ordinary shares of the Company under the Company's Long Term Incentive Plan (LTIP):

The above award will vest subject to a service condition measured over a three-year period. Dividend equivalent shares may also be acquired under the terms of the award. A two-year holding period will apply to any shares (including any dividend equivalent shares) that Mr Lee is entitled to acquire on vesting.
