NOTIFICATION OF TRANSACTION IN SHARES BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

The Company was notified today that on 6 April 2016, Sarah Jane Cockburn (the wife of Clive Cockburn, a director of Howden Joinery Ltd and a person discharging managerial responsibility within the Company) sold 40,000 shares at price of 474.78 pence per share.

Following the sale, the total holding of Clive Cockburn (including shares in his wife's name) is 2,598 shares (less than 0.01% of the Company's share capital).
