Cancellation of share premium account

Hostelworld Group plc (the "Company") is pleased to announce that earlier today the UK High Court approved the cancellation of the Company's share premium account (the "Cancellation").  This has occurred pursuant to a resolution of the shareholders of the Company passed on 27 October 2015 and in accordance with the details outlined in the Company's prospectus dated 28 October 2015.

The effect of the Cancellation is to create distributable reserves to support the Board's dividend policy.

The Cancellation has no effect on the net asset position of the Company or on the issued share capital of the Company which consists of 95,570,778 ordinary shares of €0.01 each, as at 16th December 2015.
