Dear Shareholder

NOTICE OF ANNUAL GENERAL MEETING AND PROXY FORM

Horseshoe Metals Ltd (ASX:HOR) (Horseshoe or Company) is convening its Annual General Meeting (Meeting) to be held on Wednesday 20 May 2026 at Level 1, 34 King St, Perth WA 6000, at 11:00am AWST.

In accordance with recent amendments to the Corporations Act 2001 (Cth), the Company will not be dispatching physical copies of the Notice of Meeting and Explanatory Memorandum (Notice) unless specifically requested to do so. Instead, the Notice is being made available to shareholders electronically and can be viewed and downloaded online at the following link: http://horseshoemetals.com.au. The Notice will also be posted on the Company's ASX market announcements page. Shareholders are encouraged to complete and lodge their proxies online or otherwise in accordance with the instructions set out in the proxy form and the Notice.

All resolutions in the Notice will be voted upon by poll. If you wish to vote on any of the resolutions identified in the Notice, you must vote online or attend the Meeting in person or by proxy. If you do not wish to vote at the Meeting, you are encouraged to appoint the Chair as proxy prior to the Meeting. A copy of your personalised proxy form is enclosed for your convenience. Your proxy voting instructions must be received by 11:00am AWST on Monday 18 May 2026, being not less than 48 hours before the commencement of the Meeting. Any proxy voting instructions received after that time will not be valid for the Meeting. The Company strongly encourages shareholders to lodge a directed proxy form.

Should the arrangements for the Meeting change, the Company will update shareholders by way of announcement on ASX and the details will also be made available on the Company's website at http://horseshoemetals.com.au.
