VOLUNTARY ANNOUNCEMENT

This announcement is made by China Strategic Holdings Limited (the “ Company ” and together with its subsidiaries, the “ Group ”) on a voluntary basis.

The Board of Directors of the Company (the “ Board ”) is pleased to announce that the Company is evaluating a potential transaction (the “ Potential Transaction ”) involving, among others, acquisition of the equity interests in a company which is engaged in insurance business in Hong Kong. If the Board decides that it is in the interest of the Company to proceed with the Potential Transaction, it will procure a member of the Group to submit a non-binding indication of interest in the preliminary round of the bidding process for such Potential Transaction. As the bids submitted in the preliminary round of the bidding process will be subject to consideration and assessment by the potential seller, there is no certainty that the Potential Transaction will proceed on terms proposed by the Company or at all. Further announcement will be made by the Company in this regard if and when necessary.

The Group is principally engaged in the business of investment in securities, trading of commodities and electronic components, money lending as well as securities brokerage. The Potential Transaction provides an opportunity for the Group to diversify its existing businesses and widen its revenue base.

Shareholders and potential investors are advised to exercise caution when dealing in the shares of the Company.
