DISCLOSEABLE TRANSACTION

CLOSING OF SUBSCRIPTION OF CONVERTIBLE BOND

Reference is made to the announcement of China Strategic Holdings Limited (the “Company”) dated 20 October 2017 (the “Announcement”) in relation to the subscription of Subscription Convertible Bond by Guide Plus Investments Limited (an indirect wholly owned subsidiary of the Company), which forms part of the Convertible Bonds to be issued by Huajun Holdings Limited. Unless otherwise defined, terms used herein shall have the same meanings as that used in the Announcement.

The Board is pleased to announce that the Conditions Precedent under the Subscription Agreement have been fulfilled and Closing of the Subscription took place on 26 October 2017.

As at the date of this announcement, the Board comprises four Executive Directors, namely Dr. Or Ching Fai (Chairman and Chief Executive Officer), Mr. Sue Ka Lok, Ms. Lee Chun Yeung, Catherine and Mr. Chow Kam Wah; and three Independent Non-executive Directors, namely Ms. Ma Yin Fan, Mr. Chow Yu Chun, Alexander and Mr. Leung Hoi Ying.
