RESIGNATION OF AN EXECUTIVE DIRECTOR

The board of directors (the “Board”) of China Strategic Holdings Limited (the “Company”) announces that with effect from 20 April 2009,

• (1) Mr. Wong Ah Chik (“Mr. Wong”) resigned as an executive director and vice-chairman of the Company; and

• (2) Mr. Yeung Kwok Yu, being an existing executive director of the Company, was appointed as the chief executive officer of the Company.

Mr. Wong has confirmed that his resignation is due to his intention to achieve his other personal goal. He has confirmed that he has no disagreement with the Board and there is no matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company.

The Board would like to express its appreciation to Mr. Wong for his past contribution to the Company.
