Sub: Completion of acquisition of 95% share capital of BTM Ventures Private Limited which owns and operates brand “Reginald Men”

Dear Sir/Madam,

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Company has today, i.e., January 06, 2026, completed the acquisition of 95% of the issued and paid-up equity share capital of BTM Ventures Private Limited (“BVPL”), which offers men’s focused personal care products under the brand “Reginald Men”.

The acquisition has been completed by way of secondary purchase of equity shares for an equity value of INR 197.96 Crores, which includes cash and cash equivalents of INR 12.71 Crores available on the books of BVPL as on the closing date.

Consequently, BTM Ventures Private Limited has become a subsidiary of the Company.
