DISCLOSURE OF NOTIFICATION IN ACCORDANCE WITH THE LAW OF 02.05.2007

From a notification of 29 November 2013 by AXA SA - 25 avenue Matignon à 75008 Paris - it appears that an internal transfer of 201 434 shares took place within the companies of the Group AXA SA in Belgium on 28 November 2013.

AXA Holdings Belgium SA, previously shareholder of 201 434 shares Home Invest Belgium SA, has transferred 201 434 of those shares to AXA Belgium SA.

The number of shares of which disposes AXA Belgium SA amounts thus to 433 164 shares.

This internal transfer of shares has no impact on the total number of voting rights on a consolidated basis of which the Group AXA SA disposes within Home Invest Belgium SA. The individual entity that disposes of voting rights has however changed:

The total number of voting rights remained unchanged: 433 164, or 14.17% of the total number of voting rights (denominator: 3 056 143)

Entity that dispose of voting rights: - AXA Belgium SA for 433 164 shares.

This transfer generated two crossings of threshold: AXA Holdings Belgium SA passed under the threshold of 5% and the threshold of 10% was exceeded by AXA Belgium SA.

Chain of control:

AXA Belgium SA is held for 96,93% by AXA Holdings Belgium SA and for 3,07% by AXA SA. AXA Holdings Belgium SA is held for 100% by AXA SA.

The operational entities of the Group AXA comprising the insurance companies subsidiaries of AXA act and exercise their voting rights on an independent basis of any other entity of the Group AXA exercising activities of asset management, under the conditions of Article 11§2 of the Belgian law of 02.05.2007.
