Holland Colours NV is today announcing that three of the four members of its supervisory board will be stepping down shortly. This concerns Nico Gerardu (chairman, member of the supervisory board since June 2006), Harm van der Lof (member of the supervisory board since July 2007) and Marcel Zegger (member of the supervisory board since June 2005). The fourth member, Jan Willem de Heer (member of the supervisory board since April 2010), will remain in office.
The reason for the resignation of the three supervisory board members lies in a difference in views between majority shareholder Holland Pigments BV and the supervisory board members with respect to the further adjustments to the governance structure of Holland Colours NV after the disbandment of Stichting Prioriteit Holland Colours in 2010, including adjustments to the employee participation scheme of Holland Colours NV as structured via Holland Pigments BV. The three supervisory board members are of the view that they are unable to sufficiently perform their supervisory duties as a result of this.
Van der Lof will not be making himself available for reelection at the general meeting of shareholders of 11 July 2011. In order to ensure continuity within the supervisory board, Gerardu and Zegger will resign their office once the selection, appointment and induction of successors to the supervisory board has taken place.
The supervisory board of Holland Colours NV will take the necessary measures to timely fill the vacancies arising.

Holland Colours was founded in 1979 and has been listed on the NYSE Euronext Amsterdam Stock
