Holista Biotech Sdn Bhd

In announcements dated 3 December 2008 and 17 March 2009, CollTech Australia Limited announced details of the proposed acquisition of Holista Biotech Sdn Bhd (“Holista”). Documentation to finalise this transaction and seek requisite shareholder approvals will be issued shortly.

PEPSICO, a global beverage giant, is working on a drink based on a Malaysian herb that may be sold in Asia, the US and Europe.

The drink would be a major breakthrough for the queen of Malaysian herbs, kacip fatimah, and the local firm that filed two global patents on the herb in 2007 - Holista Biotech Sdn Bhd.

"The drink is slotted for the Malaysian and regional market, and possibly North America and Europe. This is only likely to happen next year though and not this year," Holista Biotech chief executive officer Datuk Dr Rajen M told Business Times in Kuala Lumpur last Friday.

The drink is at the development stage now.

"The kacip fatimah is under testing as part of Pepsi's global research and development programme," Rajen said.

Holista filed patents on the herb's ability to protect the liver and improve the body's immune system.

Rajen said Holista is currently working on another three patents on the herb, and PepsiCo is also interested in one of them.

"At this stage, they are a big company, we are a small one ... for us this deal is very important but for them it is just one of many. Because of this I'd rather engage them on one product at a time, develop it further and get them excited," Rajen said.

Holista Biotech is already a supplier of kacip fatimah or labisia pumila to Nestle for its Nescafe coffee. The product is now sold only in Malaysia.

Holista Biotech is a company under Malaysian Biotechnology Corp's bionexus programme.

So far, it has received some RM3 million in grants from the government, through Malaysian Biotech Corp and Malaysian Technology Development Corp.

Last year, Holista Biotech made RM3 million in profits on revenue of RM15 million. As a bionexus status company, Holista Biotech is exempted from taxes.

"There are no two ways about it. Government incentives help, and tax incentives and exemptions are better than grants because they don't pick the winners, but rewards them," Rajen said.

On April 2, Holista Biotech entered into an agreement with Australian company Colltech Australia Ltd, to take control of the company through a reverse takeover.

Colltech is listed on the Australian Securities Exchange.
