TERMINATION OF CONVERTIBLE BOND PLACING AGREEMENT

Reference is made to the announcement of hmvod Limited (the “ Company ”) dated 28 June 2023, 4 July 2023, 19 July 2023 and 2 August 2023 in relation to the placing of convertible bonds under general mandate (collectively, the “ Announcements ”). Capitalized terms used herein shall have the same meanings as those defined in the Announcements unless the context otherwise requires.

The Company and the Placing Agent mutually agreed to terminate the CB Placing Agreement based on commercial considerations, taking into account (among other things) current market conditions, pursuant to which the CB Placing Agreement has been terminated and has ceased to have any force or effect with effect from 8 August 2023, whereas neither party shall have any claim against the others as a result of the termination of the CB Placing Agreement. The Company and the Placing Agent confirm that there is no matter relating to the termination of the CB Placing Agreement that needs to be brought to the attention of the Shareholders or the Stock Exchange save as disclosed in this announcement.
