COMPLETION OF PLACING AND SUBSCRIPTION

The Board is pleased to announce that completion of the Placing took place on 28 April 2010 where a total of 130,000,000 Placing Shares beneficially owned by the Vendor were placed to not less than six Placees at HK$0.265 per Placing Share.

The Board is also pleased to announce that all the conditions of the Subscription Agreement have been fulfilled and the Subscription was completed and 130,000,000 Subscription Shares were allotted to the Vendor on 6 May 2010. The Company received net proceeds of approximately HK$33.27 million from the Subscription.

Reference is made to the announcement of the Company dated 23 April 2010 (“ Announcement ”). Capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement, unless otherwise requires.

Notes:

  1. The Vendor is wholly owned by Mr. Luk Yat Hung, the chairman of the Board and an executive Director.

  2. Resuccess Investments Ltd. is wholly owned by Tongfang Co., Ltd., the shares of which are listed on the Shanghai Stock Exchange.

  3. Galaxy Fund I and Galaxy Fund II are managed by the same fund manager, Galaxy Asset Management (H.K.) Ltd.

To the best knowledge and belief of the Directors, each of above the Placees and (where applicable) their respective ultimate beneficial owners is independent of and not connected with the Company and its connected persons (as defined in the GEM Listing Rules).
