Berlin, October 13, 2009: HMS Bergbau AG held its statutory shareholders'
meeting in Berlin yesterday. The company's shareholders almost unanimously
approved all 14 items on the agenda put forward by the supervisory and
management boards. Shareholders also expressed their faith in the
management board for the future course of the company.
In addition to approving the actions of the management and supervisory
boards, the agenda also included voting in the new supervisory board.
Michaela Schernikau, CEO of Sodachem Handels GmbH, Dr. Hans-Dieter Harig,
former CEO of E.ON Energie AG and Dr. h. c. Michael Bärlein, Partner in the
law firm Bärlein Freyschmidt Frings Pananis Venn, were appointed to the
supervisory board of HMS Bergbau AG with immediate effect. The management
board of HMS Bergbau AG would like to thank the former members of the
supervisory board for their work. In the first assembly of the new
supervisory board immediately after the shareholders' meeting, the members
appointed Dr. Hans-Dieter Harig as the chairman of the supervisory board.
Dr. h. c. Michael Bärlein was appointed his deputy.
The agenda items mentioned were complemented by motions to raise fresh
approved and authorized capital, to approve the issue of warrant or
convertible bonds and to authorize the purchase of up to 10 percent of own
shares.
These resolutions were passed especially as HMS Bergbau AG is to be
positioned and established along the value chain of the energy source coal
in the medium-term.

leverage opportunities in 2009, both at operating and strategic levels, in
a market environment driven by the financial and economic crisis. In the
long-term, we expect to be able to secure above average benefits by
enhancing our business model with coal production and coal logistics. HMS
Bergbau AG is therefore evolving from a sole coal trading company into an
international group involved in production, logistics and coal trading,'
explains Heinz Schernikau, CEO of HMS Bergbau AG.
As a company listed in the Entry Standard, HMS Bergbau AG is also aiming to
voluntarily enhance the transparency level of its reporting beyond the
requirements specified by Deutsche Börse AG. In addition to regular
disclosure and participation at capital market conferences as well as
one-on-one meetings with investors, reporting is to be expanded in the
future. Since Since October 2009, GFEI Aktiengesellschaft has been
supporting HMS Bergbau AG in an effort to achieve open and more transparent
