GRANT OF RESTRICTED SHARE UNITS PURSUANT TO THE CO-OWNERSHIP PLAN II

On 20 June 2016, the Board resolved to grant 2,081,482 Restricted Share Units (the “ RSUs ”) to 134 Participants pursuant to the Co-Ownership Plan II (the “ Plan ”) adopted by the Company on 21 February 2015. Among 2,081,482 RSUs, 194,556 RSUs and 134,241 RSUs were granted to Mr. William Chu Kwong Yeung (“ Mr. Yeung ”) and Mr. Ni Quiaque Lai (“ Mr. Lai ”) respectively. Mr. Yeung and Mr. Lai are the executive Directors.

Reference is made to the Company’s listing prospectus dated 27 February 2015 (the “ Prospectus ”) containing the summary of the principal terms of the Plan (under the section headed “ Appendix VI — Statutory and General Information — Co-Ownership Plan II ”) and the Company’s announcements in connection with granting of RSUs pursuant to the Plan dated 29 June 2015 and 18 August 2015, respectively (the “ Previous Announcements ”), and the interim report of the Company for the six months ended 28 February 2016 (the “ Interim Report 2016 ”). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings ascribed to them in the Prospectus and the Previous Announcements.

GRANT OF RSUS PURSUANT TO THE PLAN

Details of movements of the Plan were set out in the Company’s Interim Report 2016 (under the section headed “ Other Information — Share Incentive Scheme — Co-Ownership Plan II ”).

On 20 June 2016, the Board resolved to grant 2,081,482 RSUs (the “ June 2016 Grants ”), on the same terms as the 1st Batch of Grants and the 2nd Batch of Grants, including the basis of 3 RSUs for every 7 Purchased Shares, to 134 Participants enabling them to receive Shares at no further costs in accordance with the following vesting schedule:

• (a) 25% of RSUs shall vest on 20 June 2017;

• (b) 25% of RSUs shall vest on 20 June 2018; and

• (c) 50% of RSUs shall vest on 20 June 2019.

The main difference between (i) the June 2016 Grants and (ii) the 1st Batch of Grants and the 2nd Batch of Grants is that the maximum investment amount of each Participant under the June 2016 Grants is uplifted from 6 months to 12 months of the annual compensation package of each new and existing Participant under the Plan.

The underlying Shares involved in the June 2016 Grants represent approximately 0.207% of the issued share capital of the Company as at the date of this announcement.

Based on the closing price of HK$8.49 per share as quoted on the Stock Exchange on 20 June 2016, the market value of the shares that are the subjects of the RSUs granted would be approximately HK$17,672,000. On 12 March 2015, the Company capitalised an amount of HK$567 standing to the credit of the share premium account of the Company by applying such sum in paying up in full at par of 5,666,666 ordinary shares (the “ Shares Issued under Capitalisation Issue ”) for allotment and issue to the Plan Trustee, in which the shares are held on trust by the Plan Trustee in order to satisfy the vesting of the RSUs granted pursuant to the Plan.

Other than Mr. Yeung and Mr. Lai, none of the grantees of the June 2016 Grants is a Director, chief executive or substantial shareholder of the Company or any of its subsidiaries, or any of their respective associates (as defined under the Listing Rules) as at the date of this announcement.

REASONS FOR AND BENEFITS OF THE JUNE 2016 GRANTS

After acquisition of the telecommunications business from New World Telephone Holdings Limited (the “ Acquisition ”) completed on 31 March 2016, the Company aims to incentivise the management Talents from the Acquisition (the “ NWT Talents ”) by extending the Plan to embrace their participation. The purpose of the June 2016 Grants is to have long term alignment of interest between Talents and the Shareholders and to motivate them to strive for the future development and expansion of the Group. As a matter of fairness, the Company also opened the Plan to existing Talents and other new joiners for the same purpose and on the same terms.

Under the June 2016 Grants, it is recorded to have 54 Participants from NWT Talents.

The Directors (including all the independent non-executive Directors) of the Company consider that the terms of the June 2016 Grants are on normal commercial terms, fair and reasonable and in the interests of the Company and the Shareholders as a whole.
