EXTENSION OF LONG STOP DATE IN RESPECT OF THE MERGER AGREEMENT IN RELATION TO THE PROPOSED TRANSACTION
Reference is made to the announcement by HKBN Ltd. (the “ Company ”) dated 7 August 2018 and the circular of the Company dated 26 October 2018 (the “ Circular ”) in relation to, among other things, the Proposed Transaction. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.
As additional time is required for fulfilment of the conditions precedent set out in the Merger Agreement, the parties to the Merger Agreement have agreed in writing to extend the Long Stop Date from 6 February 2019 to 6 May 2019. The Company remains confident that the Proposed Transaction will complete by the extended Long Stop Date.
Save as the extension of the Long Stop Date, all other terms and conditions of the Merger Agreement remain unchanged and in full force and effect in all respects.
