GRANT OF RESTRICTED SHARE UNITS PURSUANT TO THE CO-OWNERSHIP PLAN II

On 26 February 2019, the board of directors (the ‘‘Board’’) of HKBN Ltd. (the ‘‘Company’’, together with its subsidiaries, the ‘‘Group’’) resolved to grant 126,410 Restricted Share Units (the ‘‘RSUs’’) to 34 new Participants pursuant to the CoOwnership Plan II (the ‘‘Plan’’) adopted by the Company on 21 February 2015.

Reference is made to the Company’s listing prospectus dated 27 February 2015 (the ‘‘Prospectus’’) containing the summary of the principal terms of the Plan (under the section headed ‘‘Appendix VI — Statutory and General Information — Co-Ownership Plan II’’) and the Company’s announcements in connection with granting of RSUs pursuant to the Plan dated 29 June 2015, 18 August 2015, 20 June 2016, 24 January 2017, 20 July 2017 and 30 January 2019 respectively (the ‘‘Previous Announcements’’), and the annual report of the Company for the year ended 31 August 2018 (the ‘‘Annual Report 2018’’). Details of movements of the Plan were set out in the Company’s Annual Report 2018 (under the section headed ‘‘Report of the Directors — Share Incentive Scheme — Co-Ownership Plan II’’). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings ascribed to them in the Prospectus and the Previous Announcements.

GRANT OF RSUs PURSUANT TO THE PLAN

In view that there are available Shares Issued under Capitalisation Issue (as defined later in this announcement) and the suspension of the operation of Co-Ownership Plan III with reference made to the Company’s announcement dated 7 August 2018, on 26 February 2019, the Board resolved to grant 126,410 RSUs (the ‘‘February 2019 Grants’’), on the same terms as all previous batches, on the basis of 3 RSUs for every 7 Purchased Shares, to 34 new Participants, including Guangzhou, Shenzhen and Hong Kong newly joined or promoted supervisory Talents enabling them to receive Shares at no further costs in accordance with the following vesting schedule:

• (a) 25% of RSUs shall vest on 26 February 2020;

• (b) 25% of RSUs shall vest on 26 February 2021; and

• (c) 50% of RSUs shall vest on 26 February 2022.

The maximum investment amount of each Participant under the February 2019 Grants is limited to one year of the annual compensation package of new Participant under the Plan.

The underlying Shares involved in the February 2019 Grants represent approximately 0.013% of the issued share capital of the Company as at the date of this announcement.

Based on the closing price of HK$12.16 per share as quoted on the Stock Exchange on 26 February 2019, the market value of the shares that are the subjects of the RSUs granted would be approximately HK$1,537,000. On 12 March 2015 and immediately prior to the listing of the Shares on the Stock Exchange, the Company capitalised an amount of HK$567 standing to the credit of the share premium account of the Company by applying such sum in paying up in full at par of 5,666,666 ordinary shares (the ‘‘Shares Issued under Capitalisation Issue’’) for allotment and issue to the Plan Trustee, in which the shares are held on trust by the Plan Trustee in order to satisfy the vesting of the RSUs granted pursuant to the Plan.

None of the grantees of the February 2019 Grants is a Director, chief executive or substantial shareholder of the Company or any of its subsidiaries, or any of their respective associates (as defined under the Listing Rules) as at the date of this announcement.

REASONS FOR AND BENEFITS OF THE FEBRUARY 2019 GRANTS

The purpose of the February 2019 Grants is to incentivise supervisory level Talents to remain with the Group and to motivate them to strive for the future development and expansion of the Group by encouraging them to be long-term holders of the shares of the Company. Subject to the availability of RSUs remaining under the Plan, the Company would open up the Plan to all the eligible participants. For the February 2019 Grants, the eligible participants include Guangzhou, Shenzhen and Hong Kong newly joined or promoted supervisory Talents.

The Directors (including all the independent non-executive Directors) of the Company consider that the terms of the February 2019 Grants are on normal commercial terms, fair and reasonable and in the interests of the Company and the Shareholders as a whole.

As at the date of this announcement, after taking into account all the forfeited RSUs, the remaining Shares Issued under Capitalisation Issue, being approximately 5.01% of Shares Issued under Capitalisation Issue may be utilised for further grants of RSUs at the times when the Company deems fit to Talents who are eligible for participating in the Plan.

According to the Company’s record, there are approximately 341 Co-Owners (a list of the Co-Owners is shown in the Appendix of the announcement).
