GRANT OF RESTRICTED SHARE UNITS PURSUANT TO THE CO-OWNERSHIP PLAN II

On 20 July 2017, the board of directors (the “ Board ”) of HKBN Ltd. (the “ Company ”, together with its subsidiaries, the “ Group ”) resolved to grant 252,635 Restricted Share Units (the “ RSUs ”) to 10 Participants pursuant to the Co-Ownership Plan II (the “ Plan ”) adopted by the Company on 21 February 2015.

Reference is made to the Company’s listing prospectus dated 27 February 2015 (the “ Prospectus ”) containing the summary of the principal terms of the Plan (under the section headed “ Appendix VI – Statutory and General Information – Co-Ownership Plan II ”) and the Company’s announcements in connection with granting of RSUs pursuant to the Plan dated 29 June 2015, 18 August 2015, 20 June 2016 and 24 January 2017 respectively (the “ Previous Announcements ”), and the interim report of the Company for six months ended 28 February 2017 (the “ Interim Report 2017 ”). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings ascribed to them in the Prospectus and the Previous Announcements.

GRANT OF RSUS PURSUANT TO THE PLAN

Details of movements of the Plan were set out in the Company’s Interim Report 2017 (under the section headed “ Other Information – Share Incentive Scheme – Co-Ownership Plan II ”).

On 20 July 2017, the Board resolved to grant 252,635 RSUs (the “ July 2017 Grants ”), on the same terms as the 1st Batch of Grants, the 2nd Batch of Grants, the June 2016 Grants and the January 2017 Grants including the basis of 3 RSUs for every 7 Purchased Shares, to 10 Participants enabling them to receive Shares at no further costs in accordance with the following vesting schedule:

• (a) 25% of RSUs shall vest on 20 July 2018;

• (b) 25% of RSUs shall vest on 20 July 2019; and

• (c) 50% of RSUs shall vest on 20 July 2020.

The July 2017 Grants would be the same as the June 2016 Grants and the January 2017 Grants that the maximum investment amount of each Participant under the July 2017 Grants is uplifted from 6 months to 12 months of the annual compensation package of each new and existing Participant under the Plan.

The underlying Shares involved in the July 2017 Grants represent approximately 0.025% of the issued share capital of the Company as at the date of this announcement.

Based on the closing price of HK$7.95 per share as quoted on the Stock Exchange on 20 July 2017, the market value of the shares that are the subjects of the RSUs granted would be approximately HK$2,008,000. On 12 March 2015, the Company capitalised an amount of HK$567 standing to the credit of the share premium account of the Company by applying such sum in paying up in full at par of 5,666,666 ordinary shares (the “ Shares Issued under Capitalisation Issue ”) for allotment and issue to the Plan Trustee, in which the shares are held on trust by the Plan Trustee in order to satisfy the vesting of the RSUs granted pursuant to the Plan.

None of the grantees of the July 2017 Grants is a Director, chief executive or substantial shareholder of the Company, or any of their respective associates (as defined under the Listing Rules) as at the date of this announcement.

REASONS FOR AND BENEFITS OF THE JULY 2017 GRANTS

The purpose of the July 2017 Grants is to incentivise skilled and experienced Talents to remain with the Group and to motivate them to strive for the future development and expansion of the Group by providing them with the opportunity to own equity interests in the Company, while encouraging them to be long-term holders of the shares of the Company.

The Directors (including all the independent non-executive Directors) of the Company consider that the terms of the July 2017 Grants are on normal commercial terms, fair and reasonable and in the interests of the Company and the Shareholders as a whole.

As at the date of this announcement, after taking into account all the forfeited RSUs, the remaining Shares Issued under Capitalisation Issue, being approximately 7.7% of Shares Issued under Capitalisation Issue may be utilised for further grants of RSUs at the times when the Company deems fit to Talents who are eligible for participating in the Plan, including those who are new joiners or promoted Talents.

As at the date of this announcement, there are 337 Participants under the Plan (a list of the Participants is shown in the Appendix of the announcement).
