Treasury Share Transfers

Hamilton, Bermuda - The Company announces that on 10 April 2013 a transfer of 1,371,282 ordinary shares of 5 55/89p each (Ordinary Shares) was made from Treasury to satisfy awards vesting under the Hiscox Ltd Performance Share Plan.

Following the transfer the Company has a total of 16,145,888 Ordinary Shares in Treasury and a total of 353,089,070 Ordinary Shares in issue, excluding Treasury shares. In addition there are 314,668,964 B Shares of 50p each (B Shares) in issue which carry no voting rights. No B Shares are held in Treasury.

This notification is made in accordance with Listing Rule 12.6.4.
